Terms of Use for QLIA

1. The Agreement & Legal Entity

By accessing qlia.io (the "Site") and using the services provided under the brand QLIA, you agree to these Terms of Use. These Terms are a legally binding contract between you and QuantumLeap IconIQ AInnovations Inc. ("Company," "we," "us," or "our"). If you do not agree to these terms, you must immediately cease using our services.

2. Nature of Service: Autonomous AI Employees

QLIA provides access to autonomous AI agents and automated workflows (the "AI Services"). You acknowledge that these agents are powered by the QLIA framework. While highly sophisticated, these agents are software, not humans, and their outputs are subject to the limitations described in Section 8.

3. Intellectual Property & Trademarks

Trademarks

"QLIA," "QLIA," and the associated logos are trademarks of QuantumLeap IconIQ AInnovations Inc. Use of these marks without written permission is strictly prohibited.

Ownership of Platform

The Site's code, design, "vibe," and the underlying QLIA technology are the exclusive property of the Company.

AI Outputs

Subject to your compliance with these Terms, you own the specific outputs generated by the AI employees for your use. However, you acknowledge that under Canadian law, purely AI-generated content may have limited copyright protection. We recommend a "Human-in-the-loop" approach for critical work.

4. Prohibited Uses (The "No-Go" Zone)

You agree not to use QLIA or QLIA technology to:

  • Prompt Injection: Attempt to bypass safety filters or "jailbreak" the AI agents.
  • Deception: Use AI employees to impersonate real persons or spread misinformation.
  • Reverse Engineering: Attempt to extract the source code or underlying weights of the QLIA models.
  • Illegal Activity: Generate content that violates Ontario, Canadian, or international laws.

5. Disclaimer of Warranties

The Site and AI Services are provided "AS IS" and "AS AVAILABLE." QuantumLeap IconIQ AInnovations Inc. makes no guarantees that the AI agents will be error-free, uninterrupted, or meet your specific business results, except as set out in the Performance-Gated Guarantee in Section 6.

6. Performance-Gated Guarantee

This guarantee applies to our AI Workforce, Smart Automation and Business Transformation services. It does not apply to Cyber Intelligence, where your first security audit is already free.

  • Targets come first. Before the build starts, we agree your targets with you in writing (for example, hours saved, volume processed or response times).
  • One-time build fee. The build fee covers designing, building and securing your AI worker in a protected, isolated environment. It is due as agreed in your proposal.
  • Monthly fee only once targets are met. Our monthly management fee starts only when your dashboard shows the agreed targets have been met. Until then, we keep optimizing at no monthly cost.
  • Your part. The targets depend on you providing the access, data and process inputs agreed in your proposal. If the scope changes, we may need to re-agree the targets in writing.
  • Not a refund. The guarantee holds back the monthly fee until the targets are met. It is not a refund of the build fee.

Everything else about your project, including how and when targets are measured, is as set out in your proposal.

7. Limitation of Liability

To the maximum extent permitted by law, QuantumLeap IconIQ AInnovations Inc. shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from AI "hallucinations," autonomous errors, or your reliance on AI-generated content. Our total liability is limited to the amount you paid us in the past 12 months.

8. Accuracy & "Hallucinations"

AI systems can occasionally produce "hallucinations"—information that is fictitious, incorrect, or biased. You are solely responsible for fact-checking and verifying any output before using it for legal, financial, or medical purposes.

9. Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any legal disputes shall be resolved exclusively in the courts of the Niagara Region (St. Catharines), Ontario, Canada.

By using QLIA, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these terms, you must immediately cease using our services.
